boot with xp-cd and go into its repair-console, then type this:
 
"expand x:\i386\hal.dll c:\windows\system32"

if it not helped, then try this additionally:

"FIXMBR C:"
"FIXBOOT C:"
"COPY x:\I386\NTLDR C:\"
"COPY x:\I386\NTDETECT.COM C:\"

x is the letter of ur rom-drive
